Acceptance of Terms By accessing the website, engaging in consultations, or utilizing the software development and IT management services provided by Techily Fly, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between the client and Techily Fly, owned and operated by AbdurRahman Gufran. If you do not agree with any part of these terms, you must not use our services.

Scope of Services Techily Fly operates as a Complete Software Solutions Provider. We offer end-to-end services encompassing the entire software lifecycle. The specific deliverables, timelines, custom feature inclusions, and scope for each project will be outlined in a separate, project-specific Statement of Work or formal proposal agreed upon by both parties.

Client Obligations and Communication To ensure the successful execution of your project, you agree to provide timely, accurate, and complete information regarding your business needs, technical requirements, and target audience. Delays in providing necessary materials, feedback, or approvals may result in adjustments to project timelines and delivery dates.

Intellectual Property and Ownership Upon full and final payment for the services rendered, Techily Fly grants the client ownership of the final, compiled software application and related custom deliverables, as specified in the project agreement.

• Pre-existing Material: Techily Fly retains all intellectual property rights to any pre-existing code, proprietary frameworks, libraries, or background technology used in the development process.
• Client Materials: The client guarantees they hold the appropriate licenses and rights for any logos, branding, datasets, or third-party assets provided to Techily Fly for inclusion in the project.

Payment Terms and Billing Pricing for services will be detailed in the individual project proposal. Unless otherwise agreed upon in writing, billing will occur in milestone-based increments.

• An initial deposit is required before the commencement of the Idea & Conceptualization phase.
• Subsequent invoices will be issued upon the completion of predefined project phases.
• Failure to remit payment within the specified invoice timeframe may result in a temporary suspension of development or maintenance services.

Confidentiality and Data Protection Techily Fly respects the privacy and proprietary information of our clients. Both parties agree to maintain strict confidentiality regarding any sensitive business strategies, trade secrets, unreleased concepts, or user data shared during the partnership. We adhere to industry-standard security protocols during the Design & Architecture and Development phases to ensure your data remains protected against unauthorized access.

Warranties and Disclaimers Techily Fly warrants that all software and applications will be developed using professional, industry-standard practices. We strive to deliver robust and high-performing solutions; however, we do not guarantee that the software will be entirely error-free or immune to future third-party platform changes, browser updates, OS updates, or third-party API deprecations. Post-launch bugs reported within the agreed-upon warranty period will be addressed promptly.

Limitation of Liability In no event shall Techily Fly be held liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data loss, or business interruption, arising out of the use or inability to use the software solutions provided. Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client for the specific services related to the claim.

Termination of Services Either party may terminate the engagement with written notice if the other party breaches a material term of this agreement and fails to cure the breach within a reasonable timeframe. Upon termination, the client is responsible for paying for all work completed and hours logged up to the date of cancellation.

Governing Law and Jurisdiction These Terms of Service, and any disputes arising directly or indirectly from this agreement or the services provided by Techily Fly, shall be governed by and construed in accordance with the laws of India. Any legal action or proceedings related to these terms shall be brought exclusively in the appropriate courts located in Motihari, East Champaran, Bihar, India.

Modifications to Terms Techily Fly reserves the right to update or modify these Terms of Service at any time to reflect changes in our business practices, legal requirements, or service offerings. Continued use of our services following any such modifications constitutes your acceptance of the updated terms.
